Terms governing the creation, publication, and monetization of Agents on the Gravity marketplace.
This Builder Agreement ("Agreement") is entered into between XAI Technologies Pvt Ltd ("Gravity AI", "Gravity," "we," "us," or "our"), a company incorporated under the laws of India, and you ("Builder," "you," or "your"), an individual or entity that wishes to create, publish, and monetize AI agents on the Gravity platform.
This Agreement supplements the Gravity AI Terms of Service and the Privacy Policy. In the event of a conflict between this Agreement and the Terms, this Agreement shall prevail with respect to your activities as a Builder. Capitalized terms used but not defined herein have the meanings given in the Terms.
1.1. Eligibility. To become a Builder, you must be at least 18 years of age (or the age of majority in your jurisdiction), have legal capacity to enter contracts, and not be located in a sanctioned jurisdiction.
1.2. Application. Builders must apply through the Builder Studio and provide accurate identity, contact, payment, and tax information. Gravity reserves the right to approve or reject applications at its sole discretion.
1.3. Verification. Gravity may require identity verification, KYC checks, or other documentation before approving payouts above certain thresholds.
1.4. Independent Contractor. Your relationship with Gravity is that of an independent contractor. Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship.
2.1. Submission Process. You may submit Agents through the Builder Studio. Each submission must include a clear description, expected inputs and outputs, estimated Credit cost per execution, and a category/tag classification.
2.2. Quality Review. Every submitted Agent undergoes Gravity's quality review process, which includes automated testing (80+ quality checks per capability), manual review of edge cases, security and abuse screening, and Credit-cost validation. Gravity reserves the right to reject any Agent that fails review without obligation to provide detailed feedback.
2.3. Listing. Approved Agents are listed in the marketplace and made available to Users. Gravity controls the placement, ranking, and visibility of Agents based on quality, relevance, and other factors. Builders are not guaranteed any particular ranking or visibility.
2.4. Updates. You may submit updates to your Agents at any time. Material updates may require re-review before going live.
2.5. Versioning. Gravity maintains version history of your Agents. Users with active Automations may continue using a previous version for a transition period after an update.
3.1. Revenue Distribution. Revenue from each Agent execution is distributed as follows:
3.2. Creator Referrals. If a User is referred to your Agent by a Creator, the Creator's commission (typically 5-10%) is deducted from Gravity's 80% share, not from your 20%.
3.3. Earnings Calculation. Builder earnings are calculated daily based on actual Agent executions. Earnings are visible in the Builder Studio dashboard.
3.4. Payout Schedule. Earnings are paid monthly, by the 15th of the following month, provided your accumulated balance exceeds the minimum payout threshold ($50 USD or local equivalent).
3.5. Payment Methods. Payouts are processed via approved payment providers (e.g., bank transfer, PayPal, Wise). You are responsible for any fees charged by intermediary banks or payment providers.
3.6. Taxes. You are responsible for all taxes, duties, and government charges applicable to your earnings. Gravity may withhold taxes where required by law and will provide tax documentation as required.
3.7. Disputes. If you believe earnings have been miscalculated, you must notify Gravity within 60 days of the relevant payout. Disputes raised after 60 days may not be reviewed.
4.1. Maintenance. You are responsible for maintaining your Agents, including responding to bug reports, performance issues, and quality complaints. Gravity may require you to address critical issues within specified timeframes.
4.2. Accuracy. Your Agent descriptions, capabilities, and Credit costs must be accurate. Misleading representations may result in removal.
4.3. Compliance. Your Agents must comply with all applicable laws, including data protection, consumer protection, and intellectual property laws.
4.4. Support. Builders are expected to respond to escalated User support requests via the Builder Studio within 5 business days.
4.5. Quality Maintenance. Agents falling below Gravity's quality thresholds (success rate, user satisfaction, output quality) may be deprioritized, suspended, or removed.

6.1. User Content Access. Builders do not have direct access to identifiable User Content. You receive only anonymized performance metrics and quality signals.
6.2. Data Minimization. Your Agents must only request data necessary for their specific function. Excessive data requests may result in review or removal.
6.3. Confidentiality. Any aggregated data or feedback Gravity provides to you about Agent performance is confidential and may not be disclosed without permission.
6.4. Compliance. If your Agent processes personal data, you must comply with applicable data protection laws (GDPR, CCPA, DPDPA, etc.) as a data processor under Gravity's direction.
7.1. Builder IP. You retain ownership of the intellectual property in your Agent logic, workflows, prompts, and configurations.
7.2. License to Gravity. By submitting an Agent, you grant Gravity a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, execute, market, and distribute your Agent on the Platform for the duration of its listing and for a reasonable wind-down period after removal.
7.3. Branding. Gravity may display your name or business name as the creator of your Agents. You may opt out of public attribution in account settings.
7.4. Third-Party IP. You represent and warrant that your Agents do not infringe any third-party intellectual property rights and that you have all necessary rights to the components used in your Agents.
7.5. Output IP. Outputs generated by your Agent for Users belong to the User (subject to underlying AI model terms). You do not retain rights in User-specific outputs.
8.1. You agree to indemnify, defend, and hold harmless Gravity and its affiliates from claims arising out of: (a) your Agents' outputs or behavior; (b) your breach of this Agreement or any law; (c) your infringement of third-party rights; (d) any User claims related to your Agents.
9.1. You represent and warrant that:
10.1. By Gravity. Gravity may suspend, remove, or terminate any Agent or your Builder account at any time for: violation of this Agreement or the Terms, quality issues, low performance, security concerns, legal requirements, or any other reason at Gravity's discretion.
10.2. By Builder. You may remove an Agent or terminate your Builder account at any time. Active Automations using your Agent may continue running for a wind-down period (up to 90 days) to allow Users to migrate.
10.3. Outstanding Earnings. Earnings accrued before termination will be paid in the normal payout cycle, subject to the minimum threshold and any deductions for fraudulent activity.
10.4. Survival. Sections 6, 7, 8, 9, and 11 survive termination.
11.1. Information Gravity shares with you about Platform internals, business operations, User data, or financial details is confidential. You may not disclose it without Gravity's written consent, except as required by law.
11.2. Confidentiality obligations survive termination of this Agreement for five (5) years.
12.1. No Exclusivity. This Agreement is non-exclusive. You may publish your Agents on competing platforms, subject to Section 12.2.
12.2. No Circumvention. You may not use Gravity's Platform, User data, or business information to develop a competing AI agent marketplace, or to solicit Gravity's Users, Builders, or Creators away from the Platform.
12.3. Section 12.2 remains in effect during your time as a Builder and for one (1) year after termination.
13.1. Gravity may modify this Agreement with at least 30 days' notice. Your continued participation as a Builder after the effective date constitutes acceptance.
14.1. Disputes are resolved through informal negotiation followed by binding arbitration in Bangalore, India, as detailed in Section 14 of the Terms of Service.
15.1. This Agreement, together with the Terms and Privacy Policy, constitutes the entire agreement between you and Gravity regarding your role as a Builder.
15.2. The general provisions of Section 17 of the Terms of Service (severability, waiver, assignment, force majeure, notices, language) apply to this Agreement.
